Course syllabus
The class is aimed to offering to students the experience of engaging in the negotiation and drafting of a contract for a commercial transaction among companies operating into on an international framework, making use of the learning acquired the course of studies.
Students will be accompanied in examining cases, in identifying the underlying legal problems, in selecting the legal instruments appropriate to their composition, in order to then proceed into negotiation and drafting.
The course will be divided into two times:
(i) the first will be addressed to:
- the characteristics and types of contracts used by companies operating in international contexts;
- the different contractual structures, negotiation practices and drafting techniques;
- methodologies for identifying problems, seeking negotiation solutions or contractual remedies;
each topic will be introduced and deepened with broad reference to examples from practical experience and by stimulating the interactive participation of students;
(ii) during the second time, students will be divided into two groups: each will be assigned the task of providing legal assistance to one of the two (imaginary) companies involved in negotiating a commercial agreement (based on a scheme proposed by the teacher);
the task of each group will be to identify the legal problems of each company, evaluate possible solutions, negotiate them with the other group and proceed with the drafting of the appropriate contracts.

Prerequisites for admission
A knowledge of the Italian language corresponding to level C1 is recommended for non-native speakers.

Teaching methods
The lessons provide for an active involvement of students in the analysis of the legal problems, in the management of negotiation simulations and in the drafting of contracts.
Teaching Resources
During the course, in-depth materials and contractual models will be made available to students in Italian and/or in English; further reading will be suggested upon request.
Assessment methods and Criteria
Given the nature of the course, attendance at lessons is mandatory to obtain credits.
There will be no final exam.
At the end of the course, each group will be called upon to draw up a concise "Report" of the activities carried out and the objectives achieved, for a presentation that will take place in a manner to be agreed.
